Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and JJOC LLC ("Company," "we," "our," or "us"), an Ohio limited liability company. By accessing or using our website (jjocllc.com), web applications, or any services we provide (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use our Services. If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Description of Services

JJOC LLC provides fractional CFO and CIO consulting services, including but not limited to:

• Financial strategy, planning, analysis, and accounting operations
• Technology strategy, infrastructure design, and IT operations
• Data pipeline development, business intelligence, and analytics
• Cloud infrastructure consulting and cost optimization
• Application development and system integration
• Strategic consulting and business process optimization

We also provide web-based applications and tools that may require user authentication through third-party services such as Google OAuth. The specific features and scope of each service engagement are defined in separate service agreements between JJOC LLC and the client.

User Accounts and Authentication

Certain features of our Services may require you to create an account or authenticate using third-party services (such as Google). When you authenticate through a third-party provider, you authorize us to access certain account information as described in our Privacy Policy.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring the information you provide is accurate and up to date

We reserve the right to suspend or terminate your account if we reasonably believe that your account has been compromised or is being used in violation of these Terms.

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable federal, state, local, or international law or regulation
• Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to the Services
• Use the Services to transmit any malicious code, viruses, or other harmful material
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to reverse engineer, decompile, or disassemble any portion of the Services
• Use any automated means (bots, scrapers, etc.) to access the Services without our express written permission
• Impersonate or attempt to impersonate JJOC LLC, a JJOC LLC employee, another user, or any other person or entity

Intellectual Property

The Services and all content, features, and functionality thereof — including but not limited to text, graphics, logos, icons, images, software, and the design, selection, and arrangement thereof — are owned by JJOC LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. This license does not include the right to:

• Modify, copy, or create derivative works based on the Services
• Use any data mining, robots, or similar data gathering methods
• Download or copy account information for the benefit of a third party
• Use the JJOC LLC name, logo, or trademarks without prior written consent

Client Data and Confidentiality

Payment Terms

Certain Services may be subject to fees as outlined in a separate service agreement or engagement letter. By using paid Services, you agree to the following:

• Fees are due as specified in the applicable service agreement
• Payment processing is handled through Stripe or other secure payment providers
• You are responsible for providing accurate and complete payment information
• Late payments may be subject to interest charges as permitted by applicable law
• We reserve the right to suspend Services for non-payment after reasonable notice

Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

JJOC LLC does not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Services will be accurate or reliable
• Any errors in the Services will be corrected

Any consulting advice, financial analysis, technology recommendations, or other professional guidance provided through our Services is for informational purposes and should not be considered a substitute for independent professional advice. You are solely responsible for the business decisions you make based on our Services.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JJOC LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO JJOC LLC DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Indemnification

You agree to defend, indemnify, and hold harmless JJOC LLC and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content or data you submit through the Services

Third-Party Services

Our Services may integrate with or contain links to third-party websites, services, or applications (such as Google, Stripe, or cloud service providers). JJOC LLC does not control and is not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms of service and privacy policies.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination:

• Your right to use the Services will immediately cease
• We will make reasonable efforts to provide you with access to your data for a period of 30 days following termination, unless prohibited by law
• Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved as follows:

• Informal Resolution: The parties shall first attempt to resolve any dispute informally by contacting each other directly
• Mediation: If informal resolution is unsuccessful, the parties agree to attempt mediation before pursuing other remedies
• Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Ohio, and the parties consent to the personal jurisdiction of such courts

Changes to These Terms

JJOC LLC reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date below and, where appropriate, by providing notice on our website. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically to stay informed of any updates.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision.

Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and JJOC LLC regarding the use of the Services. These Terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
